DashVue Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", or "User") and DashVue Ltd ("DashVue", "we", "us", or "our"), governing your access to and use of the DashVue web application at app.dashvue.co.uk and any related services (collectively, the "Service").
By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.
You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. If you are using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.
DashVue Ltd is a company registered in England and Wales (Company Number: 17160596) with its registered address at 51 Woodland Vale Road, St Leonards-on-Sea, East Sussex, TN37 6JJ, United Kingdom.
2. Description of the Service
DashVue is an analytics and management dashboard for eBay sellers operating in the United Kingdom. The Service provides:
- Sales analytics, profit and loss reporting, and financial dashboards
- Inventory tracking and management
- Cost of goods sold (COGS) tracking with AI-powered invoice import
- Order management, pick lists, and invoice generation
- Expense tracking with receipt upload
- Seller feedback monitoring and health scoring
- Calendar and tax reporting tools
- AI-powered listing helper for drafting eBay listings
- Rule-based repricer for automated price adjustments — see § 6 below
- Integration with eBay via official eBay APIs (OAuth 2.0)
DashVue connects to your eBay account through eBay's official OAuth authorisation flow. We access your eBay data solely to provide you with the analytics and management features described above.
DashVue is an independent third-party application and is not affiliated with, endorsed by, or sponsored by eBay Inc. eBay is a registered trademark of eBay Inc.
3. User Accounts
3.1 Registration
To use the Service, you must create an account by providing a valid email address and password, or by authenticating through Google OAuth. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.2 Account Security
You must immediately notify us at privacy@dashvue.co.uk if you become aware of any unauthorised use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.
3.3 Account Accuracy
You agree to provide accurate, current, and complete information during registration and to update your information to keep it accurate. We reserve the right to suspend or terminate accounts that contain inaccurate or misleading information.
4. eBay Account Connection
4.1 Authorisation
The Service requires you to connect your eBay seller account through eBay's OAuth 2.0 authorisation flow. By connecting your eBay account, you authorise DashVue to access your eBay seller data as described in our Privacy Policy and as permitted by eBay's API terms.
4.2 eBay's Terms
Your use of eBay's services is governed by eBay's User Agreement and policies. DashVue is an independent third-party application.
4.3 Data Accuracy
While we strive to display accurate data from eBay, we do not guarantee that the data shown in DashVue exactly mirrors eBay's systems at all times. Data synchronisation occurs periodically and there may be a delay of up to six hours between changes on eBay and their reflection in DashVue. DashVue should not be used as the sole source of truth for your eBay account.
4.4 Disconnection
You may disconnect your eBay account from DashVue at any time through Settings. Upon disconnection, all eBay-sourced data stored in DashVue will be permanently deleted in accordance with our retention policy.
4.5 Marketplace Account Deletion
If eBay notifies us under their Marketplace Account Deletion API that an end-user has closed their account, we will anonymise that user's data across our systems within minutes — see the Privacy Policy for details.
5. AI-Powered Features
5.1 What we offer
The Service includes AI features powered by Anthropic's Claude API: AI invoice import and the listing helper.
5.2 No training on your data
Anthropic processes the requests statelessly and does not train its models on your data.
5.3 Suggestions only
AI-generated output is provided as suggestions only and may contain errors. You are responsible for reviewing and confirming all AI output before applying it to your account or publishing it on eBay. We never auto-publish anything to eBay on your behalf. DashVue is not liable for inaccuracies in AI-processed data that you have reviewed and applied.
5.4 Usage Limits
AI features are subject to monthly usage limits based on your subscription plan, plus per-hour rate limits to prevent abuse. Current usage can be viewed in Settings. We reserve the right to adjust usage limits at any time with reasonable notice.
6. Repricer and Automated Price Changes
When you enable the repricer, DashVue can automatically change the listed price of your eBay items based on rules you define. By enabling the feature you authorise DashVue to make those price changes on your behalf via eBay's Trading API.
- Your rules, your responsibility. You configure every rule. You set the floor and ceiling. You set the minimum margin. We provide sensible defaults and visible safety nets, but the final configuration is yours.
- Safety nets. The engine enforces a mandatory floor price, a minimum margin, a maximum daily change count per item, and a maximum single-cycle price drop. You can also enable Dry Run mode (rules evaluate but no eBay calls fire) for as long as you wish.
- Pause / undo. You can pause the repricer entirely or per-item at any time, and you can revert any cycle's price changes via the History page.
- Liability split. DashVue is not liable for revenue lost or sales missed due to a misconfigured rule that you set. We are responsible for ensuring the engine respects the limits you configured — if a defect in our engine pushes a price below the floor you configured, that's on us. See Privacy Policy § B5 (Automated decision-making) for the full UK GDPR Art. 22 disclosure.
7. Subscriptions and Payment
7.1 Plans
The Service is offered under subscription plans with varying features and limits. Details of current plans and pricing are available on our website at dashvue.co.uk. We reserve the right to modify plans and pricing with 30 days' notice.
7.2 Payment
Payments are processed by Stripe. By subscribing, you authorise us to charge your chosen payment method on a recurring basis. All prices are quoted in GBP and include VAT where applicable.
7.3 Auto-renewal
Subscriptions auto-renew at the end of each billing period using your stored payment method, until you cancel. You will receive an email reminder at least 7 days before each renewal so you can cancel in time if you wish.
7.4 Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods. Upon cancellation, your account will be downgraded and access to premium features will be restricted.
7.5 Failed Payments
If a payment fails, we will notify you and provide a 7-day grace period to update your payment method. If payment is not received within the grace period, we may suspend access to premium features of the Service.
7.6 Cooling-off (UK consumers / sole traders)
Distance-sold subscriptions carry a 14-day cooling-off right under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. To exercise it within 14 days of first sign-up, email support@dashvue.co.uk and we'll refund any payment in full. If you ask us to start providing the Service during the cooling-off period (which most users do, by signing in immediately after registering) you may be charged a pro-rata amount for the days the Service was supplied.
8. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
- Use DashVue to circumvent eBay's own terms, policies, or rate limits
- Attempt to gain unauthorised access to the Service, other user accounts, or our systems
- Use the Service to harm, threaten, or harass any person
- Interfere with or disrupt the integrity or performance of the Service
- Reverse engineer, decompile, or disassemble any aspect of the Service
- Use automated scripts, bots, or scraping tools to access the Service outside of normal use
- Share your account credentials with third parties or allow others to access the Service through your account
- Upload malicious files, viruses, or harmful content
- Use the Service to infringe upon the intellectual property rights of any third party
- Resell, redistribute, or commercialise any part of the Service without our written consent
- Use DashVue to aggregate competitor pricing data across sellers in a way that breaches eBay's API License (eBay restricts use of marketplace data for cross-seller analysis without express written permission)
- Knowingly abuse AI features to burn quota — we apply per-hour and per-month rate limits and reserve the right to throttle accounts that knowingly burn quota
We reserve the right to suspend or terminate your account if we reasonably believe you have violated these acceptable use terms.
9. Intellectual Property
9.1 Our Property
The Service, including its design, code, features, branding, logos, and documentation, is owned by DashVue Ltd and is protected by intellectual property laws. Nothing in these Terms grants you any right to use the DashVue name, logo, or branding without our written consent.
9.2 Your Data
You retain all ownership rights to the data you input into or upload to the Service, including your business information, expenses, COGS data, and uploaded files. By using the Service, you grant us a limited, non-exclusive licence to process and store your data solely for the purpose of providing the Service to you.
9.3 eBay Content
Data sourced from eBay through their APIs ("eBay Content") remains the property of eBay Inc. and is subject to eBay's terms. We display eBay Content within the Service solely to provide analytics to you as the authorised eBay account holder.
10. Disclaimers
10.1 Service Availability
The Service is provided on an "as is" and "as available" basis. We do not guarantee that the Service will be uninterrupted, error-free, or available at all times.
10.2 Financial Information
DashVue is an analytics tool, not an accounting or tax advisory service. The financial data, calculations, reports, and estimates provided by the Service are for informational purposes only and should not be relied upon as professional accounting, tax, or financial advice. You are solely responsible for the accuracy of your tax returns and financial records. We strongly recommend consulting a qualified accountant or tax professional for formal financial and tax matters.
10.3 VAT and Tax Calculations
While DashVue provides VAT calculations and tax reporting features based on the settings you configure, we do not guarantee the accuracy of these calculations for HMRC submission purposes. You are responsible for verifying all tax figures independently.
10.4 COGS Estimates
When using Simple COGS mode (flat rate or percentage), cost figures are estimates and are not linked to actual purchase transactions. These estimates should not be relied upon for formal accounting or tax purposes. For accurate cost tracking, use Advanced COGS mode with actual purchase data.
10.5 Third-party Dependencies
Some features rely on third parties (eBay, Stripe, Google, Anthropic, Supabase, Vercel, Cloudflare). If those services are degraded or unavailable, the corresponding feature may be unavailable. We are not liable for outages we don't control.
11. Limitation of Liability
To the maximum extent permitted by law:
- DashVue shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity, arising from your use of or inability to use the Service
- Our total aggregate liability for any claim arising from or related to these Terms or the Service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim
- We are not liable for any loss or damage caused by eBay API changes, eBay service disruptions, or changes to eBay's policies that affect the Service
- We are not liable for any errors in AI-generated data that you have reviewed and confirmed
- We are not liable for revenue lost or sales missed due to a misconfigured repricer rule that you set, save where loss is caused by a defect in our engine itself
Nothing in these Terms excludes or limits our liability for:
- Death or personal injury caused by negligence (Unfair Contract Terms Act 1977 s. 2)
- Fraud or fraudulent misrepresentation
- Breach of the implied terms as to title under the Sale of Goods Act / Consumer Rights Act 2015 to the extent applicable
- Any other liability that cannot be lawfully excluded under English law
12. Indemnification
You agree to indemnify, defend, and hold harmless DashVue Ltd, its directors, officers, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) inaccurate data you provide to or through the Service.
13. Termination
13.1 By You
You may terminate your account at any time by using the account deletion feature in Settings → Danger Zone, or by contacting us at privacy@dashvue.co.uk. Termination will result in the permanent deletion of your data as described in our Privacy Policy.
13.2 By Us
We may suspend or terminate your access to the Service at any time, with or without notice, if: (a) you breach these Terms; (b) your subscription payment fails and is not remedied within the grace period; (c) we are required to do so by law; or (d) we discontinue the Service. Where reasonably possible, we will provide notice before termination.
13.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy. Sections of these Terms that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnification, and governing law.
14. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by email or by posting a notice within the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the changes, you must stop using the Service before the changes take effect.
15. General Provisions
15.1 Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
15.2 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and DashVue regarding the Service and supersede all prior agreements and understandings.
15.3 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
15.4 Waiver
Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision.
15.5 Assignment
You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.
15.6 Force Majeure
We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, natural disasters, war, terrorism, pandemics, strikes, government actions, or disruptions to internet or hosting infrastructure.
15.7 Third-party rights
These Terms do not give any third party (other than DashVue Ltd) any rights under the Contracts (Rights of Third Parties) Act 1999.
